Takeover bid for Telnic

Post by NewTel on Sun 20 Jul 2014, 12:32 pm

Since the business operation for .tel won't be assured in the future due to the acute economic situation of .tel and its operator, I would like to make the following proposal.

For the transfer of the following objects I like to offer £750,000 (for the whole enterprise including Telnic and Telnames).

  • Transfer of ownership for all Telnic- and Telnames-owned servers
  • Assignment of all patents
  • Transfer of all rights and obligations from contractual agreements
  • Transmission of all operational business
  • Handover of all assets and shares
  • Handover of all software
  • Handover of all documentation
  • Dismissal of all current employees
  • Dismissal of the current management board
  • Exclusion of all current shareholders

Telnic, are you interested before the stability of the. tel ecosystem can't be guaranteed anymore?

That's a risky idea! I recommend applying for another nTLD at ICANN instead and building everything from scratch. It's faster, easier, cheaper and without the bad reputation of .tel!

@NewTel - To quote tennis champion John McEnroe

You Cannot Be Serious !

I suspect you're not - but just in case I'm wrong and you really are serious about taking over the .tel project then why not phone the CEO of Telnic/Telnames and make your offer direct to him - contact details are at http://Kash.tel

Please let us all know what the response from Kash is !

It could be a great idea of course, but I suspect that Telnic is way too far in debt to let it go for a fair price as you've suggested.

Cutting costs, making a few pounds profit, and paying back creditors is likely the future of .tel unless a big name like Google or Microsoft wants it.

Even then, the debt is greater than the near term value since they've wrecked it so badly through incompetence.

Probably that is the current plan of Telnic.
But it's very, very difficult to accomplish, because Telnic is generating big losses every year.
The credits are piling up every year more and more!
If Telnic doesn't want to grow (like it's proven), that's one thing.
But by shrinking all business activities, nothing will be accomplished either!

Right now everything is just speculation. As long Telnic is in charge, nothing will change. We have to wait a little bit more until Telnic can't continue. Nobody can know how long it takes and what will happen after.

@NewTel - It is of course the shareholders, not the executives, that own a company and ultimately have the right to decide whether to sell it or not.

I know CEO Kash is a minority shareholder himself (from memory less than 10%) so you would only need his agreement if you were unable to persuade the remaining 90% plus of share owners to part with at least 51% of the Telnic Ltd. equity.

Telnames Ltd would automatically come with any purchase of Telnic Ltd. (unless spun off beforehand) since the last time I checked Telnames Ltd had just one share issued and that was owned by Telnic Ltd.

The list of Telnic's shareholders is a public document obtainable from Companies House for a few pounds, so if you are serious about buying Telnic Ltd there is nothing AFAIK to stop you approaching the shareholders and purchasing 51% of the issued shares to give yourself control.

My guess is that you will probably need a few million to cover the ongoing yearly operating losses (including the mandatory ICANN fees and insurance) so your £750,000 - even if accepted - would be just the start !

Hopefully your plans would eventually change the ongoing yearly losses into profit !

no, it is market one) It indicates investors' affinity, company activities expectations etc. Nobody invests, but nobody sells. The company will burn out slowly or there will be any new clever idea or opportunity

Telnic LTD has some value only till it has ICANN license to run .TEL gTDL.

Without it its value will be - zero and zero. And that license seems could be lost in the nearest future.  So, it would be very risky try to buy its shares now for such a big money as this topic starter was proposed - IMHO.

As the financial situation of Telnic has deteriorated significantly, I reduce my offer to £75,000.

I offer 50 cents for the whole company and I believe that is way over market value.

I sympathise with your sense of humour, but I was serious.

With the right management, it's possible to lead .tel to success.

Unfortunately, not much time is left.
